For Business-to-Business (B2B) Vendors of TripCosmos.co

This Vendor Policy outlines the rules, responsibilities, and expectations for vendors partnering with MysticEscape Private Limited (“Company”). By becoming a vendor, you (“Vendor”) agree to comply with the terms and conditions of this policy.

1. Purpose and Scope

1.1 This policy establishes the guidelines for the collaboration between TripCosmos.co and its vendors for the delivery of high-quality travel services, including tour packages, accommodations, and related activities.
1.2 The policy is applicable to all vendors partnering with TripCosmos.co under its B2B Vendor Program.

2. Vendor Eligibility

2.1 Vendors must have a valid business registration and appropriate licenses required for their services.
2.2 Vendors should have a proven track record of service excellence and must demonstrate their ability to fulfill commitments.
2.3 Vendors are required to comply with all applicable local, state, and national laws governing their business.

3. Responsibilities of Vendors

3.1 Service Quality: Vendors must deliver services as promised, ensuring they meet or exceed customer expectations.
3.2 Timely Communication: Vendors must provide prompt updates regarding service availability, lead status, and any operational changes that may impact service delivery.
3.3 Compliance: Vendors must adhere to the terms of this policy and TripCosmos.co’s Data Protection Policy, Cancellation Policy, and Refund Policy.
3.4 Ethical Practices: Vendors must operate ethically, avoiding fraudulent practices or misrepresentation.

4. CRM and Data Access

4.1 Vendors will be granted access to the Company’s CRM system to manage leads and track customer conversions.
4.2 Restrictions on CRM Usage:

  • Vendors must not share login credentials.
  • Vendors must not use customer data for purposes outside the scope of the partnership.
  • Vendors must not alter or delete data without authorization.
    4.3 Data Confidentiality: All customer and business data accessed via the CRM must be treated as confidential. Unauthorized use or disclosure of data will result in immediate termination and legal action.

5. Revenue Sharing and Payments

5.1 Commission Structure: Vendors will earn a [Percentage]% commission on each successful lead conversion.
5.2 Payment Terms: Commissions will be paid within 15 days of receiving full payment from the customer, after deducting applicable taxes.
5.3 Dispute Resolution: Vendors must report any discrepancies in payment or commission calculations within seven (7) days of receiving the payment report.

6. Cancellations and Refunds

6.1 Vendors must comply with the Company’s Cancellation and Refund Policy.
6.2 Any refund requests due to service failures on the part of the Vendor will result in deduction from the Vendor’s commission.
6.3 Vendors must notify the Company immediately if they foresee any cancellations or service disruptions.

7. Code of Conduct

7.1 Vendors are expected to behave professionally and courteously in all dealings with customers and TripCosmos.co staff.
7.2 Any form of discrimination, harassment, or unethical behavior will result in immediate termination of the partnership.

8. Termination of Partnership

8.1 Voluntary Termination: Either party may terminate this partnership with 30 days’ written notice.
8.2 Immediate Termination: The Company reserves the right to terminate the partnership immediately in cases of:

  • Breach of this policy or applicable laws.
  • Repeated service failures or customer complaints.
  • Misuse of CRM or unauthorized data sharing.
    8.3 Upon termination, Vendors must immediately cease using all TripCosmos.co resources and return any confidential information or materials provided by the Company.

9. Dispute Resolution

9.1 Disputes arising under this policy will be resolved amicably through mutual discussion.
9.2 If unresolved, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Varanasi, Uttar Pradesh, India.

10. Limitation of Liability

10.1 The Company shall not be held liable for any indirect, incidental, or consequential damages arising from the Vendor’s actions or omissions.
10.2 Vendors are solely responsible for liabilities resulting from their actions, including customer disputes, penalties, or legal claims.

11. Governing Law

This policy is governed by and construed in accordance with the laws of India.

12. Amendments to the Policy

12.1 The Company reserves the right to modify this policy at any time.
12.2 Vendors will be notified of changes, and continued participation in the Vendor Program constitutes acceptance of the updated terms.

13. Acknowledgment and Acceptance

By signing the Vendor Agreement or participating in the Vendor Program, the Vendor agrees to comply with this policy and any updates made to it.
